Catherine Duskin-Vernarelli is the Visionary, Co-Founder of Spirit Entertainment, Inc./ AMP Pictures, Inc. and Red Note Records and maintains the Company as CEO and Chairman of the Board of Directors. Ms. Duskin-Vernarelli’s multi-faceted career in the advertising and motion picture industry began in early childhood. She was a successful commercial model and actress, and professional photographer and produced with her father, Executive Producer/ Director/ Advertising Executive Ken Duskin. She majored in Film at Philadelphia College of Art, and worked with Sunlight Pictures, Fred Levinson Productions, among other well-known production companies, on both sides of the commercial camera for television, print and films. Catherine, having sponsored children through UNICEF, had personal interaction with the late Audrey Hepburn, Ambassador to UNICEF, which inspired her to embrace Ms. Hepburn’s caring philosophy and direct the Company through creating positive mass communication to continue the mission of helping the world’s children and families on a global scale.
Ms. Duskin-Vernarelli created a successful production partnership and studio in the early 80's in Hollywood, CA. “LA Sharpshooters”- which was recognized in all the trades, and which was cited by The Hollywood Reporter, Variety, and The Blue Book Directory to the Industry and honored by major clients in the advertising and film industry for its outstanding business attitude and Ms. Duskin-Vernarelli’s exceptional marketing skills. Its clients included Citibank, Porsche, Orchid Paper Products; and produced big concerts for bands like “U2” and others, and worked with Virgin Records, A & M Records, LA Festival of the Arts, etc. and many motion pictures. LA Sharpshooters had a fully equipped soundstage with offices on Melrose Avenue in Los Angeles near Paramount and Raleigh Studios, and was quoted in Variety as the "Cereal Killers" because nearly every breakfast cereal commercial in town was shot in their facilities, including many feature-films. Ms. Duskin-Vernarelli ‘s creative excellence, insight for both products and the market and her visionary corporate compassion got her invited to speak to CEO’s of Fortune 500 companies at Stanford University in 2001 just days before 9/11 on behalf of entertainment business and her positive philosophy of equal caring and sharing. Ken Duskin's long and illustrious
career spans several decades of the best in the American and
International Culture of Advertising and Media for marketing
extraordinaire. He is a multi-award winning Creative Director,
Executive Producer, and Commercial Film Director. He created
and Executive-Produced: all of the concepts and commercials
for the use of Lee Iacocca in the Chrysler Corporate
commercials; all of the advertising for the Chrysler and
Plymouth brands; all advertising for the restoration of the
Statue of Liberty; the commercial for The American Diabetes
Foundation featuring Mary Tyler Moore; the Humphrey
Presidential Campaign; Nelson Rockefeller's Campaign for
Governor of New York. He created advertising and marketing
campaigns for Warner Bros. and Columbia Pictures--movies and
soundtrack albums. Advertising for: Volkswagen; Porsche;
Polaroid; RCA; STP Oil Treatment; Chemstrand; Seagram's; GTE;
AMS; Clairol; General Mills; General Foods; Warner co; British
Airways; and Yardley. Awards Received for Creating/ Directing
include many GOLD LIONS; A Gold Medal at the Venice Film
Festival for GTE, Man In The Phone Booth with Jack Gilford;
GOLD EFFIS and numerous CLEOS for his innovative and effective

Stephen Michael
Vernarelli (

Stephen co-founded the Company and has contributed greatly to its ongoing vision and mission of positive mass communication and entertainment. Stephen's extensive production and creative writing experience is enhanced by his more than 15-year participation in the Telluride Film Festival, with exposure to much of the world's finest cinema. He is also a past member of the Steering Committee for the Sedona International Film Festival. Stephen studied Television Arts and has shot video for TV commercials, sports, documentaries, and concerts for artists like B.B. King & Willie Nelson; and has camera-assisted David Fortney, award-winning cinematographer of nature films. He was Production Designer for an independent film, Magenta's Miracles, marketed at the Berlin Film Market, and has helped build and/or decorate sets for major films like Three Kings with George Clooney, The Postman with Kevin Costner, Deadman with Johnny Depp, Timemaster with Pat Morita, Tank Girl with Lori Petty, and others. He formed Creative Film/ ~Liquid Light~ Services for his film & video production work and writing services from his home in Sedona prior to co-founding Spirit Entertainment, Inc./ Amp Pictures, Inc. and Red Note Records. His studies in Creative Writing at the University of Arkansas--noted for its exceptional Department of English--and his film background has evolved to screenwriting, having scribed several, original screenplays and a novel--which are currently in development by the Company detailed in Projects in Development. He has also written a stage play; an anthology of short science fiction and is an active journalist. His Anthology, “Synchronicity Gates” is published by Dandelion Books, Tempe, AZ. Jack Millman
The Company is also working with Jack
Millman, Owner of Video Music International, in Music
Direction and Music Products and will oversee usage rights to
thousands of titles of popular music. He is the creator of the
famed "Video Jukebox", which now is part of our National
Historical Treasures in the Smithsonian Institute in Wash.
D.C. Jack has worked in the music and entertainment industry
for over 40 years, having scored music for numerous motion
pictures and has composed seven original symphonies.

BOARD -- Legal Counsel James Burk,
Esq.
Jim Burk has been in the private
practice of law for over 30 years. Principally located in
Washington DC, Mr. Burk has offices on both the east and west
coasts and is recognized as one of the top SEC attorneys. He
assists emerging companies from the initial stages of
organization through the initial public offering stage. Mr.
Burk began his career in 1969 as an attorney with the Federal
Trade Commission investigating consumer protection matters. He
served as Senior Law Clerk to the Chief Judge of United States
District Court for the Western District of Texas, and was
later appointed Attorney-Advisor on the U.S. Tax Court in
Washington, DC. Mr. Burk specializes in corporate law,
contracts, mergers, acquisitions, venture capital financings,
tax, asset-protection, securities and franchise law, and has
assisted emerging companies in securing seed and mezzanine
funding. He is a graduate of the University of Texas at Austin
Law School and is a member of the bars of the District of

- LICENSING/ MERCHANDISING Rand E.
Brenner
Rand Brenner has over 20 years
experience in marketing consumer products and services,
entertainment licensing, sales, advertising and promotions.
Rand Brenner was formerly Vice President of Consumer Products
and Promotions for Moon Crescent Studios, where he was
responsible for launching the merchandise licensing and
promotional program for the 3D animated feature, PC and the
Web. Mr. Brenner developed licensing and promotional
agreements with several major companies including Hewlett
Packard, Kellogg's, and Fender Guitars. Mr. Brenner was also
Vice President of Licensing and Merchandising for Saban
Entertainment, one of the largest independent producer of
children's television programming. Mr. Brenner managed all
aspects of the licensing programs for Saban's television
shows, working closely with consumer products manufacturers on
product development, packaging, distribution and promotional
support. Key among the properties he licensed was the Mighty
Morphin Power Rangers TV show (a worldwide licensing
phenomenon) and two Power Rangers Movies (produced in
conjunction with 20th Century Fox Film Corporation), which
grossed over 3 billion dollars in worldwide retail merchandise
sales. Mr. Brenner's experience also includes the licensing of
theatrical, animation, and television and publishing
properties at Warner Bros. Consumer Merchandise division.
Among the high level licensing programs were: the motion
pictures Batman, Batman II (grossing over 1 billion dollars in
retail sales); animated programs such as Looney Tunes (i.e.
Bugs Bunny), and Tiny Toon Adventures (a Steven
Spielberg-Warner Bros. creation). Mr. Brenner also has
extensive advertising experience that includes account
management with Ogilvy & Mather Advertising, where he
managed Mattel's Hot Wheels brand, and at NW Ayer Advertising,
where he supervised the media planning for several consumer
products accounts including Yamaha Electronics, Toshiba
(Computers) and Host International Restaurants. Mr. Brenner
attended California State University in San Jose (CA) where he
received a Bachelor of Arts degree in Advertising before
matriculating to Pepperdine University from which he obtained
a masters degree in Business Administration. Mr. Brenner
currently resides in Los Angeles,

Designer, having been recipient of over 100 national awards
including the CLIO, London International Award, Telly Awards
for advertising, corporate videos, and 3D Animation
treatments; with over 28 years of service in all aspects of
audio engineering, including staff engineer positions with
world-class recording studios in Hollywood, Burbank,
Nashville, and Munich, Germany. He has worked primarily in
post-audio for the past ten years, utilizing the latest
Digidesign Pro-Tools technology, and was ADR & dialog
editor for major theatrical releases from Disney, Buena Vista,
Paramount, 20th Century Fox and network television. He has
worked with many Grammy Award-winning Recording Artists and
has done original scores for video, film and CD production.
